Dagon Inference / Terms of service
Terms of service
Published · Last updated
These terms are an agreement between you and Inkwell Finance, Inc. d/b/a Dagon, a Delaware corporation ("we"), for the Dagon Inference API and console. You accept them when you click through the "By continuing" notice in the console, and by creating a key, sending a request to the API, buying credits with a wallet purchase or paying for a request with x402. If you do not accept them, do not use the service.
What the service is
Dagon Inference is a metered gateway in front of upstream model providers: abliteration.ai, Refuseless (DPLS Systems LLC) and Experiential Labs (Resolute Labs AI, Inc.). We forward your requests, meter the tokens, and charge your key. A provider is offered only while we have configured access to it. Model ids are neutral: one id can be served by more than one provider, and we add a provider to an id only after checking its model for identity and refusal behavior. We are not affiliated with OpenAI, Anthropic, abliteration.ai, Refuseless or Experiential Labs; their names are used only to identify the providers and formats, and OpenAI and Anthropic are trademarks of their owners. Compatibility with their SDKs refers only to request formats.
Some models are provided by Refuseless (DPLS Systems LLC). Refuseless may route a request to third-party model providers of its choosing. A routed request may be served by a different deployment or model, including one that has not had refusal behavior removed, and neither we nor you can tell which route served it.
Cost-based routing. When more than one enabled, healthy provider serves the model id and endpoint you call, the gateway sends the request to the one with the lowest estimated cost for that request. If that provider fails before sending any output (a connection error, a server error, a rate limit or an exhausted upstream balance), the gateway may retry the same request with the next-cheapest provider. It never switches provider after output has started. Your receipt names the provider that served the request.
Models, availability and features may change or be withdrawn without notice. The models are provided by a third party.
Agreeing to these terms
In the console, the "By continuing" notice at passkey registration, key creation and checkout tells you that continuing means you agree to these terms, the acceptable use policy and the privacy policy, and confirm you are at least 18. If you use the API without the console, you agree by creating a key, by sending a request with one, by buying credits with POST /v1/credits/purchase, or by sending a request paid with x402. The terms are also linked from the response to POST /v1/keys and from every 402 response that asks for an x402 payment.
Software acting for you. If an agent, script or other software creates keys, buys credits, pays with x402 or sends requests for you, you are bound by what it does as if you had done it yourself, including the payments it signs. You are responsible for configuring it, for the wallet it uses, for the limits it pays within, and for keeping any key it receives.
Eligibility, age and keys
You must be at least 18 and able to form a binding agreement. The service is not directed to anyone under 18 and we do not knowingly collect data from them. If we learn that someone under 18 uses it, we will end the account.
A key (gk_ or lk_) is a bearer credential: whoever holds it can spend its balance. It is shown once. Keep it secret and save it when you create it. We store only a hash of each key, so we cannot show it again and cannot verify who owns a key. If you lose a key we do not recover it, transfer its balance or refund it. Keys minted under a passkey account can be replaced; see the section on lost keys and passkeys below. We are not responsible for spending by anyone who holds your key.
Credits, payments and refunds
Credits. Top ups buy prepaid credits, denominated in US dollars (1 USDC is US$1 of credit), usable only for the service. Credits are not money, a deposit, stored value or electronic money, do not earn interest, are not held in trust or kept separate, are not insured, have no cash value, are not redeemable for cash, and cannot be transferred except between keys under the same account as the console allows. We do not hold your crypto assets for you. You pay on our hosted checkout at pay.dagon.so, which we operate using the Zoneless open source software, or with x402 straight from your wallet, and the USDC goes to our own wallet.
Finality. Blockchain payments are final. We credit a top up only after our checkout, or for x402 the gateway, confirms the payment has reached our treasury wallet. We cannot reverse, cancel or recover a transaction. A payment is a payment to us only if it reaches our treasury wallet through a checkout session you created, or as an x402 payment the gateway accepted. Payments sent anywhere else, including to the wrong address, chain or token, or to anyone pretending to be us, are not payments to us: they create no credit and no obligation for us, and we cannot recover them. If USDC reaches our treasury wallet in any other way, for example an x402 payment that the gateway refused or that did not confirm in time, email legal@inkwell.finance with the transaction signature within 30 days. Unless the law prevents it (see the sanctions section), we will credit it to a key or return it to the wallet that sent it, less network fees. Payments from other chains are credited net of bridge and relayer fees.
USDC and cross-chain payments. USDC is issued by Circle, not by us. Circle can freeze or block USDC at any address, and USDC carries issuer, network and smart contract risks we do not control. Payments from other chains use Circle's Cross-Chain Transfer Protocol: your USDC is burned on the source chain and minted on Solana after Circle attests the transfer, and our relayer then forwards it to our treasury. Delays or failures in source or destination chains, RPC providers, Circle's attestation service or the protocol's contracts can delay or prevent a payment. If your USDC was burned through our checkout but the mint has not completed, contact legal@inkwell.finance with the transaction hash, and we will make reasonable efforts to complete the mint and credit the top up. We credit a top up only once the funds reach our treasury. Except as stated in this paragraph, to the extent the law allows, we are not liable for these failures.
Unused balance. Except where the law requires otherwise, credits are not refundable. This includes the part of an x402 payment that a request did not use, which stays as credit on the key it was credited to.
Lost keys and passkeys. A key is a bearer credential. We cannot verify ownership and we do not recover, replace or refund a lost key or the balance on it. If you lose every passkey on an account, you lose console access to its balance; keys already minted continue to work until their balance is spent. We do not recover passkeys.
Suspension and termination. If we suspend or end a key for breach of these terms or the law, unused credits on that key may be forfeited, except where the law requires otherwise.
Expiry. From , we may expire credits that remain unused 365 days after the top up that bought them, except where the law requires otherwise. We record when each key was last used or topped up for this purpose.
Prices and taxes. We may change prices going forward; the price version on each receipt governs that request. Prices exclude taxes. You are responsible for taxes on your use, and we may add sales tax or VAT where required.
Errors. If a receipt does not match the published arithmetic, or a credit is missing, email legal@inkwell.finance within 30 days of the transaction and we will correct it.
Official payment channels and phishing
We accept payment only through: checkout sessions created from the console at inference.dagon.so, by POST /v1/credits/checkout or by POST /v1/credits/purchase, and paid on pages at https://pay.dagon.so or by signing the transaction that POST /v1/credits/purchase returns; and x402, meaning one USDC transfer to our treasury wallet that your software signs in answer to a 402 response from https://inference.dagon.so, for the amount that response states. A 402 response from any other host is not from us, even if it names our treasury. Our official domains, our treasury wallet, the fee payer addresses and what a genuine payment asks your wallet to sign are listed at /official. We will never ask you to send funds to any other address; to pay more than the amount you chose or, for x402, the amount stated in a 402 response from inference.dagon.so; to sign a transaction that does not expire; to give us a seed phrase or private key; or to pay through a direct message, a support chat, an ad or a link we did not generate. Before you or your software approve a payment, check the domain, the amount and the destination. If software pays for you, configure it to pay only https://inference.dagon.so, only to our treasury wallet, and only within a limit you set. You are responsible for these checks. We are not responsible for losses from payments sent to anyone other than our treasury wallet through our checkout, a wallet purchase or x402, including payments caused by phishing sites, impersonation, look-alike domains, look-alike 402 responses, address poisoning, clipboard malware or fake support. If you see someone pretending to be us, report it to abuse@inkwell.finance.
Your wallet and wallet software
You control your wallet and are responsible for its security: your seed phrase, private keys, devices, browser extensions, the transactions and messages you sign, and the token approvals you grant. We never have custody of your wallet or access to its keys. Wallets and wallet connection software are made by third parties. This includes Phantom and other browser wallets, WaaP, and WalletConnect or Reown. Our pages load some of this software so that you can connect, but we do not control how a wallet displays or executes a transaction. A wallet, extension or device that is compromised, outdated or malicious may show you a false transaction or sign one you did not intend. To the extent the law allows, we are not liable for losses caused by your wallet, your device, software you installed, transactions or messages you signed, or approvals you granted. We keep the wallet software on our pages up to date as described on our security page. Nothing in this section limits our responsibility for code we write.
How requests are charged
You pay in USDC through hosted checkout, with a wallet purchase (POST /v1/credits/purchase), per request with x402, or with a private zkAPI lease.
x402. A request that needs payment gets a 402 response that states an amount. Your software pays it with one USDC transfer on Solana, sent with the retried request, and the payment is credited to a prepaid key. Without a key, a request pays its maximum possible cost (the hold described below), at least US$0.5. We create a new key, credit the whole payment to it, return its secret once, only in the x-dagon-key response header, and charge the request to it. What the request does not use stays on that key as credit. It is not returned to your wallet. If your software does not keep the key, the rest is lost and we cannot recover it, so reuse the key for later requests. With a key that is short of funds, the 402 asks for the shortfall, at least US$1, and the whole payment is credited to that key.
Prices are the token price of the provider that serves the request plus our markup of 10% (15% on leases); when routing picks a cheaper provider, the saving is passed to you, shown on the pricing page and pinned by price version on every receipt.
Each request is first held against your balance at its maximum possible cost, sized for the most expensive provider that could serve it. When the upstream reports token usage, you are charged for that usage and the rest of the hold is returned. If the upstream does not report usage, or the request is cut off (you disconnect, a lease ends, or the upstream fails part way), you are charged an estimate: the estimated prompt size plus the output delivered so far, or, if nothing can be estimated, the full hold. The estimated prompt size is a conservative upper bound and may exceed the true token count. Each receipt states its usage source: upstream, estimated or reserved.
If the upstream fails or is unreachable before it accepts the request, or reports an error before producing output, you are not charged. Charges are final once settled, except where we correct an error as described above.
Sanctions, export controls and eligible locations
You represent and warrant that you are not (a) located, organized or ordinarily resident in a country or territory that is the target of comprehensive US, UK, EU or UN sanctions, as designated from time to time, (b) listed on, or owned or controlled by anyone listed on, any sanctions or denied party list, including the US Treasury OFAC list of Specially Designated Nationals, or (c) using the service for any end use prohibited by export control law, including weapons or military end uses. You will not use the service to evade sanctions.
Locations where the service is not offered. The service is not offered in, and must not be used from, the European Union, the European Economic Area, the United Kingdom (including the Crown Dependencies of the Isle of Man, Jersey and Guernsey), Cuba, Iran, North Korea, Russia, Belarus, Crimea, Sevastopol, or the Donetsk and Luhansk regions of Ukraine. You will not use a VPN, proxy or other means to access it from those locations.
We restrict the service by location, including by blocking IP addresses located in those places, and we screen the wallet addresses that pay for top ups against sanctions lists. We may block access, refuse or reverse crediting where legally required, freeze a balance as required by law, and report to authorities. A payment from a sanctioned address is blocked: it is not credited to any key and, where the law requires, it is not refunded, and we report it to the authorities.
Acceptable use
You must follow the acceptable use policy. We may suspend or end a key that breaks it, or that threatens the service, with or without notice.
Your content and outputs
You own your inputs. As between you and us, you own the outputs to the extent we have any rights in them. You are responsible for your content and prompts and for having the right to send them. We make no warranty that outputs are original, non infringing or unique, and similar outputs may be produced for others. You are responsible for checking outputs for third party rights. We do not store prompts or outputs in our database or logs; see the privacy policy. We may use the names, marks and site content of the service only for the service itself; all rights in the service, its site and its software that are not granted here are reserved.
Outputs come from AI models
Outputs are generated by statistical language models that are offered as models with refusal behavior reduced or removed; we do not control or verify which model or deployment serves a given request. They may be inaccurate, incomplete, insecure, offensive or harmful, may reproduce third party content, and are not reviewed by us. Outputs are not legal, financial, security, medical or professional advice and are not a substitute for a human audit or review. You alone are responsible for how you use outputs, including running code, deploying contracts, signing transactions or acting on security findings, and for any loss that results. We do not guarantee that the models will answer any particular request or that outputs will be free of unsafe content.
Third party services
The service relies on third parties:
- the model providers abliteration.ai and Refuseless (DPLS Systems LLC), the third-party model providers Refuseless routes requests to, and Experiential Labs (Resolute Labs AI, Inc.);
- Railway (hosting) and Cloudflare (DNS, network and backup storage);
- Circle (the issuer of USDC and operator of the Cross-Chain Transfer Protocol and its attestation service);
- wallet providers, and WaaP and WalletConnect or Reown (wallet connection);
- zkAPI servers (optional private leases);
- public blockchains and their RPC providers.
The checkout at pay.dagon.so is operated by us using Zoneless open source software. The third parties' own terms and privacy policies apply to your use of them. We do not control them and are not responsible for their acts, outages, fees, security or data practices, and we may change providers.
Indemnity
You will defend and indemnify Inkwell Finance, Inc. d/b/a Dagon, its officers, directors, employees and contractors against claims, losses, damages and costs, including reasonable legal fees, arising from your content or prompts, your use of outputs, your breach of these terms, the acceptable use policy or the law, any claim that your use of the service infringes or violates a third party's rights, or any suspension, closure or claim by an upstream provider caused by your use. We may assume control of the defense of any matter, and you will not settle without our consent.
Software and security
The service is built on open source and third-party software, including libraries that run in your browser on our pages. Any software can contain vulnerabilities, including ones not yet known or not yet fixed by its maker. We monitor published vulnerabilities and update affected components as described on our security page. We may pause checkout, wallet connection or other features without notice to protect users. We do not warrant that the service or the software it uses is free of vulnerabilities. Nothing in these terms limits liability that cannot be limited by law.
No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON INFRINGEMENT AND UNINTERRUPTED OR ERROR FREE OPERATION. UPSTREAM PROVIDERS, AND PROVIDERS THEY ROUTE TO, CAN FAIL OR CHANGE. WE DO NOT WARRANT WHICH MODEL, VERSION, PROVIDER OR DEPLOYMENT SERVES A REQUEST.
Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR FUNDS, INCLUDING LOSSES FROM OUTPUTS, SMART CONTRACT OR TRANSACTION LOSSES, UPSTREAM ERRORS, LOSS OF KEYS, PAYMENTS SENT TO ANYONE OTHER THAN OUR TREASURY THROUGH OUR CHECKOUT, THE COMPROMISE OF YOUR WALLET OR DEVICE, AND FAILURES OF BLOCKCHAINS, STABLECOIN ISSUERS OR BRIDGES. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF US$100 AND THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Nothing here limits liability that cannot be limited by law.
Abuse reports and legal process
Report misuse to abuse@inkwell.finance. We respond to valid legal process and emergency requests, and we may preserve account data on request or when we suspect unlawful use. We notify affected users of legal process unless we are prohibited from doing so or it would be unsafe. See the privacy policy for what we can provide.
Ending use
You can stop using the service at any time. We may suspend or end access for breach of these terms, risk to the service or to third parties, a legal requirement, or because upstream access is withdrawn. A model may be withdrawn without notice when its upstream withdraws it. We may discontinue the service on 30 days' notice posted on this site and in the console. See the credits section for unused balances.
Changes
We may update these terms. We post the new version with a new "Last updated" date and, for material changes, a notice on this site and in the console at least 30 days before it takes effect, or immediately if required by law, to address abuse or security, or by a change in an upstream provider's terms, prices, models or data practices. If you do not agree, stop using the service. Price changes apply to requests made after they take effect.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction. To the extent permitted by law, the parties waive trial by jury and any class or representative action. Mandatory consumer protection law in your country of residence still applies where it cannot be waived.
General terms
Survival. The sections on credits and forfeiture, official payment channels, your wallet, software and security, content and outputs, disclaimers, limit of liability, indemnity, disputes and governing law, sanctions and these general terms survive termination.
Severability and waiver. If a provision is unenforceable, the rest remains in force and the provision is enforced to the extent permitted. Failure to enforce a provision is not a waiver.
Assignment. You may not assign these terms. We may assign them in connection with a merger or sale.
Entire agreement. These terms, the acceptable use policy and the privacy policy are the entire agreement between you and us and replace prior understandings. There are no third party beneficiaries.
Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including upstream provider outages or withdrawal, internet or blockchain network failures, cloud or hosting failures, attacks, governmental action or changes in law.
Notices and contact
Send legal notices and questions to legal@inkwell.finance. We may give you notice by posting on this site or in the console.
